Item 2.02

Results of Operations and Financial Condition

On October 20, 2020, Spirit of Texas Bancshares, Inc. (the “Company”) issued a press release announcing its financial results for the third quarter ended September 30, 2020. The press release also announced (x) the entry by the Company’s wholly-owned subsidiary, Spirit of Texas Bank, SSB (the “Bank”), into a Branch Purchase and Assumption Agreement with First State Bank, pursuant to which First State Bank will purchase certain assets and assume certain liabilities (the “Jacksboro Branch Sale”) associated with the Bank’s branch located at 1220 North Main Street, Jacksboro, Texas 76458 (the “Jacksboro Branch”) and (y) the closing of the Bank’s previously announced sale of its branch located at 1010 Bay Area Boulevard, Houston, Texas 77058 to Moody National Bank (the “Clear Lake Branch Sale” and together with the Jacksboro Branch Sale, the “Branch Sales”). A copy of the Company’s press release covering such announcement and certain other matters is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
